By accessing or using our websites, services, software, applications or digital platforms, you agree to be bound by these Terms. If you do not agree, you must not use our services.

Scope: These Terms apply to the Ivy Network PLC website at https://ivynetwork.co.uk, related web properties, technology programmes (including Elite Tour), client engagements, and future software products and applications released by the Company, unless a product-specific agreement states otherwise.

2 Acceptance of Terms

By accessing, browsing or using any Ivy Network PLC website, platform, software, application or service, you confirm that you have read, understood and agree to these Terms.

If you are accepting these Terms on behalf of an organisation, you represent that you have authority to bind that organisation. In that case, “you” refers to the organisation.

If you do not agree with any part of these Terms, you must discontinue use of our websites and services immediately.

3 Website Usage

You may access and use Ivy Network PLC websites for lawful purposes consistent with these Terms and applicable law.

Prohibited conduct

Specific engagements may be governed by additional written agreements, statements of work, proposals or service schedules. Where such documents exist, they form part of the contractual relationship and may contain terms that supplement or, for that engagement, take precedence over these general Terms.

Service descriptions on the website are for information purposes and do not constitute a binding offer until confirmed in writing for a particular project.

5 Software Products and Applications

Ivy Network PLC may develop, release and operate:

  • Mobile applications
  • Software products
  • Digital platforms
  • Online services and tools

Each product may be subject to additional terms, product-specific policies, end-user licence agreements or usage rules published at the time of download, registration or first use.

By using any such product, you agree to comply with these Terms and any applicable product-specific terms. You must not reverse engineer, decompile, or attempt to extract source code from software products except where applicable law expressly permits and only to the limited extent required.

Future products: As new applications and platforms are released, their specific terms and privacy notices will be made available. Continued use after notice of product-specific terms constitutes acceptance of those terms for that product.

6 User Accounts

Some Ivy Network PLC services, platforms or applications may require registration of a user account.

Where accounts are provided, you are responsible for:

  • Maintaining the security and confidentiality of your account credentials
  • Providing accurate and up-to-date registration information
  • Protecting passwords and authentication methods
  • Ensuring that only authorised persons access the account
  • All activity that occurs under your account

You must notify Ivy Network PLC promptly if you become aware of unauthorised access to or use of your account. We may suspend or terminate accounts that we reasonably believe have been compromised or used in violation of these Terms.

7 User Responsibilities

8 Intellectual Property

  • Designs, graphics, layouts and user interface elements

You may not copy, modify, redistribute, sell, lease, reverse engineer or create derivative works from protected materials without prior written permission from Ivy Network PLC, except to the limited extent expressly permitted by applicable law.

Use of the Ivy Network PLC name, logo or branding must comply with any brand guidelines or licence terms we publish or agree with you. Unauthorised use is prohibited.

9 Client Projects

When Ivy Network PLC undertakes projects for businesses, organisations or institutional clients:

  • Project scope, deliverables, timelines and fees are typically defined in written agreements, proposals or statements of work
  • Requirements and acceptance criteria may vary by engagement
  • Ownership of custom work product and related rights depends on the terms of the applicable agreement
  • Confidential information shared by either party will be handled appropriately and in accordance with any confidentiality obligations agreed

These general Terms apply to the extent they do not conflict with a signed project agreement. In case of conflict for a specific client engagement, the project agreement prevails for that engagement.

10 Payments and Fees

Some Ivy Network PLC services may require payment. Before paid services commence:

  • Pricing or fee structures will be communicated
  • Payment terms and methods will be specified
  • Deliverables and conditions will be described as applicable

Unless otherwise stated in a written agreement, fees are non-refundable once work has been performed or deliverables accepted, except where required by law. Late or failed payments may result in suspension of services until amounts due are settled.

Where payment providers are used, their terms may also apply to the payment transaction.

11 Third-Party Services

Ivy Network PLC may use or integrate third-party services in the delivery of websites, platforms and solutions. Examples include:

  • Cloud hosting and infrastructure providers
  • Payment providers
  • Analytics and monitoring services
  • Communication and email platforms
  • Social media and external content services

14 Availability

Ivy Network PLC works to maintain reliable access to websites and services. However, we do not guarantee uninterrupted, error-free or continuous availability. Services may be affected by:

  • External factors beyond our reasonable control (including network failures, third-party outages or force majeure events)

We will use reasonable efforts to minimise disruption and to restore service where interruptions occur within our control.

15 Limitation of Liability

To the fullest extent permitted by applicable law:

  • Ivy Network PLC provides websites, information and general service descriptions on an “as is” and “as available” basis
  • We are not liable for indirect, incidental, special, consequential or punitive damages arising from use of or inability to use our services
  • We are not responsible for damages arising from misuse of services, third-party actions, external technical failures, or unauthorised access beyond our reasonable control
  • Our total liability arising from any claim related to these Terms or general website use shall not exceed the amount paid by you to Ivy Network PLC for the specific service giving rise to the claim in the twelve months preceding the claim, or a reasonable minimum where no payment was made, except where liability cannot be limited by law

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

For paid client projects, liability terms in the applicable project agreement may further define or limit liability for that engagement.

16 Termination

Ivy Network PLC may restrict, suspend or terminate access to websites, accounts or services if:

  • You violate these Terms or applicable product terms
  • You misuse services or engage in harmful or unlawful activity
  • We are required to do so by law or regulatory requirement
  • Continued provision is no longer feasible for operational or security reasons

You may stop using our services at any time. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability and governing provisions) will continue to apply.

For client projects, termination rights and consequences are governed by the applicable project agreement.

17 Changes to Terms

Ivy Network PLC may update these Terms from time to time to reflect changes in services, technology, legal requirements or business operations.

When we make changes, we will update the “Last Updated” date at the top of this page. Material changes may also be communicated through the website or other reasonable channels.

Continued use of our websites or services after an update constitutes acceptance of the revised Terms to the extent permitted by law. We encourage you to review this page periodically.

18 Governing Information

These Terms are governed by the applicable laws and regulations relevant to Ivy Network PLC operations and the jurisdictions in which services are provided, without regard to conflict of law principles that would require application of another jurisdiction’s laws.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Failure to enforce any right under these Terms does not constitute a waiver of that right.

These Terms, together with the Privacy Policy and any applicable product-specific or project agreements, constitute the entire agreement between you and Ivy Network PLC regarding the subject matter, superseding prior general website terms on the same subject, except where a written project agreement states otherwise.
